STUDENT REGISTRATION CONTRACT 2023-2024

The deadline to complete online registration for your child for the 2023-2024 academic year is Tuesday, January 31, 2023. 

Your child’s school account must be in good standing, including payment of the registration deposit for 2023-2024, in order to complete their registration. Upper School students’ registrations must be completed before their course selections can be processed.

 

  • By completing this Student Registration Contract for the student named above (the "Student"), you agree to accept the terms and conditions set out herein, all School policies and procedures, and all documents incorporated by reference, including but not limited to the 2023-2024 Schedule of Fees (collectively, the "Contract"). 

    Health and Safety Protocols 
    You confirm that you have received, read, and fully understood the entirety of the Health and Safety Guidelines for the 2023-2024 School Year (the “Guidelines”), including the expectations of parents/guardians and students, and the importance of cooperation by parents/guardians and members of the school community in contributing to a healthy and safe school environment. You acknowledge and understand that the Guidelines are subject to change based on applicable public health guidance, legislation, and directives, and that notice of amendments will be shared by St. Clement’s School. You acknowledge and agree that it is your responsibility to review these amendments as may be issued from time to time. You confirm that you will comply with, and will reinforce to the student for their compliance, the expectations of St. Clement’s School with respect to the Guidelines and the 2023-2024 school year. You further agree to comply with health screening and safety protocols and public health guidance as they may be amended from time to time for the 2023-2024 school year. You understand and agree that misrepresentation regarding the information you provide to St. Clement’s School could result in the exclusion of the student from the School. 

    Remote Learning and Cancellation of In-Person Activities 
    St. Clement’s School reserves the right at its sole discretion to suspend any or all in-person activities and programs. St. Clement’s School shall continue to provide Remote Learning subject to the Force Majeure section below. “Remote Learning” may comprise synchronous (real-time) and asynchronous online learning, temporarily or indefinitely as part of the whole class instruction, in smaller groups of students, and/or in a one-on-one context for the 2023-2024 school year. Notwithstanding that the Contract is being signed during the COVID-19 pandemic, all parties will continue to comply with the terms of the Contract. For greater clarity, in the event that St. Clement’s School is required to close its physical locations and facilities and/or students are prohibited from returning to the campus of St. Clement’s School during the 2023-2024 school year pursuant to the Reopening Ontario (A Flexible Response to COVID-19) Act, 2020, S.O. 2020, c. 17 and its regulations, or pursuant to COVID-19 outbreak measures, you will continue to comply with your obligations in the Contract, including the obligation to pay fees to St. Clement’s School. 

    Force Majeure 
    You hereby acknowledge and agree that St. Clement’s School reserves the right at its sole discretion to suspend the obligations in the Contract for the period of time that a condition of Force Majeure exists. “Force Majeure” means an act of God, strike, lock-out, act of public enemy, war, blockade, pandemic, and civil disturbance, or other causes beyond the reasonable control of St. Clement’s School such as to make Remote Learning impossible or impracticable, as determined solely by St. Clement’s School. St. Clement’s School shall immediately notify parents/guardians of any suspension due to a Force Majeure event. St. Clement’s School and parents/guardians agree to use their best efforts to eliminate the effects of the Force Majeure event and to resume performance of the Contract as soon as possible after the Force Majeure event ceases. St. Clement’s School is not liable for any costs incurred by parents/guardians due to delays or non-performance of obligations as a result of the Force Majeure event. 

    General Terms 
    i) This Contract shall be governed by and continued in accordance with the laws of the Province of Ontario and the laws of Canada applicable herein. The parties attorn to the exclusive jurisdiction of the courts of the Province of Ontario and all courts competent to hear appeals therefrom. 

    ii) The Contract (including any documents incorporated by reference) constitutes the entire agreement between the parents/guardians of the student and St. Clement’s School concerning the subject matter herein. It shall supersede all prior agreements, understandings, representations, or contracts between the parents/guardians of the student and St. Clement’s School concerning the subject matter hereof, whether verbal or written, including, without limitation, any prior enrolment or re-enrolment contract executed by the parents/guardians and St. Clement’s School. No amendment, supplement, restatement, or termination of any term of the Contract, save and except for amendments to the Plan, rules, regulations, policies, guidelines, and schedules of St. Clement’s School, shall be binding upon the parties unless it is in writing and signed by the parties. 

    iii) Failure or delay by either party to exercise, in whole or in part, any of their rights, powers or remedies in the Contract is not a waiver of those rights, powers or remedies. No waiver shall be effective unless it is in writing and signed by the party asserted to have granted such waiver. 

    iv) Parents/Guardians may not assign, or otherwise transfer, their rights or delegate their duties or obligations under the Contract without prior written consent of St. Clement’s School. Any attempt to do so is void. The Contract shall inure to benefit and bind the parties hereto, their successors and permitted assigns. 

    v) In the event that any part of any provision of the Contract may prove to be illegal or unenforceable, the other provisions of the Contract and the remainder of the provision in question shall continue in full force and effect. 

    vi) The Contract may be executed in counterparts and/or by electronic signature and if so executed shall be equally binding as an original copy of the Contract executed in ink by the parents/guardians.
